TERMS & CONDITIONS ON DFP EDUCATION COURSE REGISTERING/ENROLLMENT

We are thrilled to have you enroll as a student with DFP Education, the educational platform of Documentary Family Photographers Worldwide (DFP). By registering as a student for a mentored workshop or crash course with Rock Paper Scissors, you agree to the following terms and conditions:

  1. You will respect the copyright of the Guide(s) in the course material and agree to keep confidential all workshop/course material, not copying or disclosing such material to any third party who is not a registered student on the course. This includes all written material, videos and other course materials such as templates and software.

  1. You agree not to disclose to any third party login details provided to you in order to access the workshop/course materials and online classroom.

  1. You agree to keep confidential discussions held and information provided in the online classroom or private Facebook group set up for students of the course in which you have enrolled.

  1. You represent and warrant that you do not currently teach or mentor other photographers nor plan to in the next 18 months in relation to the subject matter contained in the workshop/course for which you have registered.

  1. Your place on the workshop/course for which you register is non-transferable and non-refundable. Upon payment of the workshop/course fee, no refund is available should you be unable to participate in the workshop or course.

  1. Should DFP cancel the workshop/course for which you have registered, you will be refunded the course fee you have paid in full. No other compensation will be made. Should DFP need to postpone the workshop/course, you will be automatically registered for the same workshop/course running from such postponed date and, provided the workshop/course runs no later than 6 months from the originally scheduled date, no workshop/course refund will be provided in such circumstances. DFP also reserves the right to change the Guide.

This is a licensing agreement (Agreement) between you and Documentary Family Photographers Worldwide and its affiliates (dfpeducation.com, dfpworkshops.com, documentaryfamilyphotographs.com), referred to as DFP

1. TERMS OF USE

Upon receipt of payment for a template purchased by you from DFP (the Template), DFP grants you with a non-exclusive license to download, edit and use the template for the purpose of your business, subject to the following restrictions on use.

1.1. License only: The Template is licensed, not sold to you. You receive no title to, ownership of or legal rights to the Template, other than to use the template for the purposes as set out in the Copyright Terms and Conditions provided to you on purchase of the Template.

1.2. Permitted use: You agree that you will not distribute the Template to parties other than your photography clients and that you will not distribute the Template to those clients in a way that allows them to reproduce or re-use the template.

1.3.  No distribution: You agree that you will not display publicly, sell, sub-licence, share or make available for use the Template to any person.

1.4. No deconstruction: You agree that you will not reverse engineer, disassemble, decompile or attempt to derive any source code or base construction of the Template.

1.5. No refund: Due to the digital nature of the Template, once purchased, you are not entitled to a refund of any kind.

2. GENERAL TERMS AND CONDITIONS

2.1. Amendments: This Agreement may only be amended as agreed in writing by DFP. 

2.2. No Liability: You agree to hold DFP harmless in any cause for damages, negligence, strict liability or tort in connection with this Agreement, even if such damages were foreseeable. Nothing in this Agreement shall create additional liabilities, remedies or causes of action against DFP. DFP shall not be held liable for any claims by third parties against you. DFP shall not be held liable for any claims by third parties based on any material requested by you for use in customising the Template.

2.3. Governing Law & Jurisdiction: Any claim brought under or pertaining to this Agreement shall be governed by Irish law and the Irish courts shall have exclusive jurisdiction.

2.4. Entire Agreement: This Agreement constitutes the entire Agreement between you and DFP with respect to the Template. No other communications or prior writings shall have any bearing on this enforceability of this Agreement.

2.5. Severability: The Parties agree to waive any provision of this Agreement that would render this agreement invalid or unenforceable. If a provision is determined to be invalid, it will be enforced to the extent permissible under the law.

2.6. Indemnity: You agree to indemnify DFP, its employees, shareholders, insurers, agents or officers, against any third-party claim, suit or proceeding against DFP resulting from any infringement by you of the rights of any third party in connection with your use of the Template.

This is a licensing agreement (Agreement) between you and Documentary Family Photographers Worldwide Limited (DFP) and its affiliates (dfpeducation.com, dfpworkshops.com, documentaryfamilyphotographs.com), referred to as DFP

Documentary Family Photographers (DFP) is not an attorney and does not and is not authorized or licensed to provide legal consultation or advice. The Agreement for Photography Services (this “Agreement”) is a general contract applicable to United States federal and common law and may not address the laws or regulations of any individual state or country. Different states or countries may have different laws or regulations that affect the pursuit of business or commercial interests, the formation of contracts, the ownership or descent of intellectual property rights, or the rights or duties of both minor children and the guardians of minor children.  

DFP has collaborated with Arce Stark & Haskell, LLP, a Washington D.C.-based boutique law firm specializing in intellectual property and with a wide experience working with professional photographers to offer a reduced rate for consultations regarding this Agreement and will help you adapt this Agreement to the laws and regulations of your jurisdiction, as well as the particulars and details of your business and process.

 

DISCLAIMER AND COPYRIGHT:

 

The purchase and use of this Agreement does not create any legal relationship between you and either DFP or Arce Stark & Haskell, LLP. Neither DFP nor Arce Stark & Haskell, LLP are your attorneys or legal representatives in any manner or under any jurisdiction. This Agreement is not meant to be used without personalized consultation from an attorney, and by purchasing and using the Agreement, you hereby waives, releases, and holds harmless both DFP and Arce Stark & Haskell, LLP from all claims arising from the use of this Agreement, including without limitation claims of malpractice or intellectual property infringement. This Agreement does not imply nor form any legal relationship, partnership, or other legal entity between DFP and Arce Stark & Haskell, LLP.

You agree that this Agreement is for your use only and you shall not make copies or disseminate the Agreement.

Payment Plan terms & Conditions

By choosing to participate in the DFP Education Payment Plan

you understand:

1.     you have authorized DFP to debit your bank account or charge your credit card on a recurring basis until the retreat, course, workshop and/or program is paid complete

2. Payments are due in equal installments, payable on a monthly basis recurring monthly from the day the payer checked out each subsequent month; there will be a €25 fee for each dishonored auto-debit/credit transaction. If a payment is received after the due date, a late fee of €75 may be assessed

3. you understand it is your responsibility to inform DFP if your bank account has closed or your credit card or account number has changed.

 4. If I have two consecutive dishonored payments, you may be withdrawn from the DFP Education Payment Plan and access to courses, workshops, programs, materials, etc. may be subject to hold or cancellation without refund until account balance is paid in full.

Additional Terms and Conditions for DFP Education Auto Payment Plan

These Additional Terms and Conditions apply to all Qualifying Students who wish to enroll in any DFP Education Course or Workshop and who choose to pay for their course or workshop using the DFP Payment Plan. These Additional Terms and Conditions are in addition to the General Terms and Conditions and the Website Terms of Use (if you purchase the Applicable Course via the Website) that apply to the sale of any In Person retreat, workshop, course or Online retreat, workshop or course.

Please read these Additional Terms and Conditions carefully before purchasing an Applicable Course and choosing to pay using the BPP Payment Plan. Please print off or keep a copy of these Additional Terms and Conditions for your records. BPP will not file or otherwise keep a copy of the agreement concluded between you and BPP and a concluded agreement will not be available from BPP at a future time and date.

By enrolling in a DFP Course, workshop or retreat ordering and agreeing to pay using the DFP Payment Plan, you are confirming your agreement to be bound by these Additional Terms and Conditions.

If there is any conflict between these Additional Terms and Conditions, the General Terms and Conditions and the Website Terms of Use, the conflict shall be resolved according to the following order of priority; (1) the Additional Terms and Conditions; (2) the General Terms and Conditions; and (3) the Website Terms of Use.

1. Definitions

·        1.1. Words and expressions defined in the General Terms and Conditions have the same meaning in these Additional Terms and Conditions except to the extent that they are varied by these Additional Terms and Conditions.

·        1.2. In these Additional Terms and Conditions, the following terms have the following meanings:

DFP” means Documentary Family Photographers,
Qualifying Student” means any student who enrolls/registers in a retreat, workshop and/or course and qualifies for the DFP Education Payment Plan under Clause 2.2 of these Additional Terms and Conditions.

2. Additional Terms and Conditions

·        2.1 The DFP Payment Plan enables Qualifying Students to pay their retreat, course, workshop, and/or program fees in equal installments, the number of installments dependent on the defined number set forth by DFP and DFP Education and with the first installment being due at the time your order is placed. The remainder of your fees will be due in equal installments, payable on a monthly basis recurring monthly from the day the payer checked out each subsequent month. e.g. if you place your order and pay your first installment on 12th January, your second installment will be deducted/due 12th February and your third and fourth installments will be deducted/due on 12th March and April respectively.

·        2.2 In order to qualifying for the DFP Education Payment Plan, you must meet all of the following requirements:

·        2.2.1 you must enroll in a retreat, course, workshop or program which has the payment plan option, such as “The Business Badassery Program”

·        2.2.2 All payment plan enrollments must be registered with and approved by the DFP Education enrollment team.

·        2.2.3 you must pay the first installment the retreat, workshop, course and/or program enrollment fee at the time of placing your order/registering;

·        2.3 It is your responsibility to ensure that the required payments are made in accordance with Clause 2.1 of these Additional Terms and Conditions. Any failure to make payment of an installment in accordance with these Additional Terms and Conditions will be a breach of the terms of the DFP Education Payment Plan and, without prejudice to any other rights it may have, DFP reserves the right to:

·        2.4 - withdraw you from the DFP Payment Plan and any remaining retreat, workshop, course and/or program fees will become immediately due and payable in full; and/or

·        2.4.1 - refuse admittance to you to the applicable retreat, course, workshop and/or program and/or

·        2.5 Where DFP takes action under Clause 2.6 of these Additional Terms and Conditions, you will not be entitled to a refund of any fees already paid.

·        2.6 The DFP Education Payment Plan shall not be available in respect to retreats, courses, workshops and/or programs which have already been purchased by you and/or where the applicable retreat, course, workshop and/or program has already commenced.

·        2.7 DFP may withdraw the DFP Education Payment Plan at any time in its sole discretion. Any such withdrawal shall not affect Qualifying Students who have purchased and are participating in an Applicable Courses and using the DFP Education Payment Plan at the date of such withdrawal. The DFP Education Payment Plan shall continue to be available to those Qualifying Students in relation to the Applicable Course which they are undertaking.

·        2.8 If you have breached, or, are in breach of any of the General Terms and Conditions and/or these Additional Terms and Conditions, you will cease to be eligible for the DFP Education Payment and any future courses you may enroll in, and DFP reserves the right to withdraw you from the DFP Education Payment Plan and any remaining fees will become immediately due and payable in full.

·        2.9 The DFP Education Payment Plan is offered subject to availability.

·        2.10 DFP may update or amend these Additional Terms and Conditions from time to time to comply with law or to meet its changing business requirements without notice to you. Any updates or amendments will be posted on the Website.

·        2.11 These Additional Terms and Conditions and any other matters arising out of or in relation to these Additional Terms and Conditions, shall be governed by and construed in accordance with the laws of Germany. You agree to submit to the exclusive jurisdiction of the German courts to settle any dispute which may arise out of or in connection with these terms and conditions.
